PixlBank is a trade name and doing business as (DBA) name of Good TRKR LLC, a Delaware limited liability company. References to "PixlBank," "we," "us," or "our" in these Terms refer to Good TRKR LLC.

1. Agreement to Terms

By accessing or using PixlBank's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use our Services.

These Terms apply to all users, visitors, and others who access or use the Services.

2. Description of Services

PixlBank provides a software-as-a-service (SaaS) platform that enables businesses to:

• Create and customize augmented reality (AR) postcards and marketing materials

• Manage customer contact lists and mailing campaigns

• Generate QR code-enabled AR experiences

• Access postcard design, printing, and fulfillment services through our third-party printing partners

PixlBank reserves the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Account Terms

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By creating an account, you represent and warrant that:

• All registration information you submit is accurate and truthful

• You will maintain the accuracy of such information

• You are not prohibited from using the Services under applicable law

• Your use of the Services will comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Immediately notifying us of any unauthorized access or security breach

You may not:

• Share your account credentials with others

• Allow others to access your account

• Create multiple accounts for fraudulent purposes

3.3 Account Responsibility

You acknowledge that PixlBank is not responsible for unauthorized account access resulting from your failure to maintain account security.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights

• Distribute spam, unsolicited communications, or deceptive content

• Transmit harmful code, viruses, or malicious software

• Engage in fraudulent or illegal activity

• Harass, abuse, or harm others

• Infringe on intellectual property rights

• Access or attempt to access other users' accounts without authorization

• Interfere with or disrupt the Services or servers

• Use automated systems (bots, scrapers) without written permission

• Reverse engineer, decompile, or attempt to extract source code

PixlBank reserves the right to investigate violations and take appropriate action, including account suspension or termination.

5. Intellectual Property Rights

5.1 PixlBank's Intellectual Property

The Services, including all software, content, trademarks, logos, and other materials, are owned by or licensed to PixlBank and are protected by intellectual property laws. These Terms grant you no ownership rights to PixlBank's intellectual property.

5.2 Limited License

Subject to your compliance with these Terms, PixlBank grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful business purposes.

5.3 User Content

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant PixlBank a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to provide the Services.

You represent and warrant that:

• You own or have the necessary rights to all User Content

• Your User Content does not violate any third-party rights

• Your User Content complies with these Terms and applicable laws

5.4 Feedback

Any feedback, suggestions, or ideas you provide to PixlBank may be used by PixlBank without obligation or compensation to you.

6. Third-Party Services

The Services may integrate with or contain links to third-party services, including printing and fulfillment partners. PixlBank is not responsible for:

• The availability, accuracy, or content of third-party services

• Any transactions between you and third-party providers

• Third-party terms, policies, or practices

Your use of third-party services is at your own risk and subject to their respective terms.

7. Privacy and Data Protection

7.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.

7.2 Data Security

While we implement reasonable security measures to protect your data, we cannot guarantee absolute security. You acknowledge that:

• Internet transmission and electronic storage are not 100% secure

• You use the Services at your own risk

• PixlBank is not liable for unauthorized access to your data resulting from circumstances beyond our reasonable control

7.3 Customer Data

You are responsible for:

• The accuracy and legality of customer data you upload

• Obtaining necessary consents to collect and process customer data

• Complying with applicable privacy laws (including GDPR, CCPA, and other regulations)

You agree to indemnify PixlBank against claims arising from your violation of privacy laws or misuse of customer data.

8. Payment Terms

8.1 Fees and Pricing

Current pricing is available on our website. PixlBank reserves the right to modify pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

8.2 Billing

You agree to pay all fees according to your selected plan. Fees are:

• Non-refundable except as required by law or specified in these Terms

• Billed in advance for subscription services

• Due immediately upon invoice for usage-based services

8.3 Payment Methods

Payment must be made through accepted payment methods. You authorize PixlBank to charge your payment method for all fees incurred.

8.4 Failed Payments

If payment fails, we may:

• Suspend or terminate your account

• Charge late fees as permitted by law

• Pursue collection through third parties

You remain responsible for all unpaid fees plus collection costs.

8.5 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes except those based on PixlBank's net income.

9. Refunds and Cancellations

9.1 Subscription Services

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial billing periods except as required by law.

9.2 Usage-Based Services

Fees for completed services (printed and mailed postcards) are non-refundable.

9.3 Service Issues

If you experience service issues preventing use of the Services, contact us within 30 days for potential credit or refund at our sole discretion.

10. Warranties and Disclaimers

10.1 Limited Warranty

PixlBank warrants that the Services will perform substantially in accordance with our documentation under normal use.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PIXLBANK DOES NOT WARRANT THAT:

• The Services will be uninterrupted, timely, secure, or error-free

• Results obtained from the Services will be accurate or reliable

• Quality of the Services will meet your expectations

• Defects will be corrected

Some jurisdictions do not allow disclaimer of implied warranties, so the above may not apply to you.

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXLBANK'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PIXLBANK IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.2 Excluded Damages

IN NO EVENT SHALL PIXLBANK BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Cost of substitute services

• Personal injury or property damage (except as caused by our negligence)

This limitation applies regardless of the legal theory and even if PixlBank has been advised of the possibility of such damages.

11.3 Exceptions

Some jurisdictions do not allow limitation of liability for personal injury or certain damages, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless PixlBank, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services

• Your violation of these Terms

• Your violation of any law or third-party rights

• Your User Content

• Your customer data or mailing lists

13. Term and Termination

13.1 Term

These Terms commence when you first access the Services and continue until terminated.

13.2 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through your account settings

• Contacting customer support

• Ceasing use of the Services

13.3 Termination by PixlBank

We may suspend or terminate your account immediately if:

• You breach these Terms

• Your account is inactive for an extended period

• We discontinue the Services

• Required by law or regulatory authority

• Your use poses security or liability risks

13.4 Effect of Termination

Upon termination:

• Your access to the Services will cease immediately

• Outstanding fees become due immediately

• We may delete your data after a reasonable retention period

• Provisions that by their nature should survive will continue (including payment obligations, liability limitations, and indemnification)

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us to attempt informal resolution. We will contact you to attempt to resolve the dispute informally.

14.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

• You may assert claims in small claims court if they qualify

• Either party may seek equitable relief in court for intellectual property or confidentiality violations

Arbitration will be conducted by JAMS under its Comprehensive Arbitration Rules. The arbitrator's decision is binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND PIXLBANK AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Some jurisdictions do not allow arbitration agreements or class action waivers. If you reside in such a jurisdiction, this section may not apply to you.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. If arbitration does not apply, any legal action must be brought in the state or federal courts located in Sacramento County, California, and you consent to exclusive jurisdiction there.

16. General Provisions

16.1 Changes to Terms

We may modify these Terms at any time by posting revised Terms on our website or notifying you via email. Material changes take effect 30 days after notice. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Services.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PixlBank regarding the Services and supersede all prior agreements.

16.3 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to reflect the parties' intent to the maximum extent permitted by law.

16.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

16.5 Assignment

You may not assign or transfer these Terms without our written consent. PixlBank may assign these Terms without restriction. Any prohibited assignment is void.

16.6 Force Majeure

PixlBank is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel or internet service interruptions.

16.7 Export Compliance

You may not use or export the Services except as authorized by U.S. law and the laws of the jurisdiction where the Services are accessed. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country.

16.8 Notices

16.9 No Partnership

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and PixlBank.

16.10 Survival

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution.
